EdgePilot Marketplace Terms of Service

1. Acceptance and provider
These Terms of Service ("Terms") govern your use of the publicly installable EdgePilot Research plugin and its public Research services, and your use of account-authenticated EdgePilot Marketplace catalog and strategy-download functions through the EdgePilot Live client. The services are provided by Rivendell Holdings Investment Limited, a company registered in the British Virgin Islands ("Rivendell", "EdgePilot", "we", "us", or "our"). By installing, accessing, or using an applicable service, you agree to these Terms. If you use it for an organization, you represent that you have authority to bind that organization.
2. Eligibility
You must be at least 18 years old and legally able to enter into these Terms. You may not use the service where doing so would violate applicable law, sanctions, or export restrictions.
3. Service boundaries
EdgePilot Research provides anonymous strategy discovery, structured recommendations, strategy-package installation, local historical backtesting, and a local Dashboard without requiring an EdgePilot account. The EdgePilot Live client provides an account-authenticated Marketplace catalog and strategy-package download workflow. Live Marketplace access requires a valid account and the authorization scope required for the requested operation.
Neither Marketplace workflow connects a trading account, accepts exchange credentials, places or routes orders, or holds assets. These Terms do not govern local backtest, paper, exchange-demo, live-trading, or order-execution activity performed by the EdgePilot client on your device.
4. License
Subject to these Terms and the applicable Custom EdgePilot License, EdgePilot grants you a limited, non-exclusive, non-transferable, revocable right to install and use the covered EdgePilot software and downloaded strategy packages for the purposes permitted by that license. EdgePilot software and strategy packages are proprietary and are not open-source unless their accompanying license expressly states otherwise.
You may not redistribute, republish, resell, sublicense, or make the plugin or a substantial part of it available to others, or use it to provide a competing hosted or managed service, without EdgePilot's prior written permission. You may not remove proprietary notices, bypass access or security controls, interfere with the service, probe it without authorization, introduce malicious code, or use it unlawfully. Rights not expressly granted are reserved.
5. Executable code and your environment
Strategy packages contain executable Python code and the local runtime includes native and third-party components. You are responsible for deciding whether to install and run them, reviewing packages and sources you rely on, using a trusted and appropriately isolated environment, maintaining your device and backups, and protecting information stored locally. You are responsible for your input data, configuration, research assumptions, and decisions based on the output.
6. Third-party software, data, and platforms
Third-party software, strategy components, market data, package-hosting services, and host AI or coding platforms remain subject to their own licenses, terms, and privacy practices. EdgePilot does not grant rights to third-party materials and is not responsible for a third party's service, availability, security, accuracy, or changes. References to OpenAI, Anthropic, Binance, Python Package Index, or another provider do not imply sponsorship or endorsement.
7. No advice; research risks
EdgePilot Research provides software and information for historical research only. Nothing in the service is investment, financial, legal, tax, brokerage, fiduciary, or asset-management advice, and no output is a recommendation to buy, sell, or hold an asset. Strategy descriptions, rankings, metrics, simulations, and backtests may be incomplete, delayed, inaccurate, or affected by assumptions, data quality, fees, liquidity, market impact, overfitting, and implementation differences.
Historical and simulated performance does not predict future results. No return, profit, risk level, capital preservation, or suitability is guaranteed. You are solely responsible for independent evaluation and for any decision or action taken outside EdgePilot Research.
8. Strategy-download allowances
Research and Live strategy ZIP downloads from the same source network share an allowance of 20 approved downloads per UTC day and 100 per UTC month. Live downloads also consume a separate allowance of 20 approved downloads per UTC day and 100 per UTC month for the authenticated account. An IPv4 address is treated as one source network and IPv6 addresses are grouped by normalized /64; people behind shared network-address translation may therefore share an allowance.
A download counts when the service approves delivery of the strategy ZIP. Repeated downloads, updates, restoration downloads, and retries after an interrupted transfer count again. Search, version lists, details, recommendations, locally satisfied installations, backtests, paper, demo or live startup, and runtime-wheel downloads do not consume this allowance. When any applicable allowance is exhausted, the service may refuse the strategy download until the returned UTC reset time. You may not evade an allowance or security control by falsifying forwarding information, sharing credentials, or using automated abuse.
9. Availability and changes
We may change, update, suspend, limit, or discontinue all or part of EdgePilot Research or the Live Marketplace, including a catalog entry, endpoint, strategy package, runtime artifact, or supported data source. We do not promise uninterrupted availability, continued compatibility, permanent access to a version, successful completion of a download, or correction of every error. Where practical, material changes to these Terms will be published at this URL with an updated effective date.
10. Disclaimer
To the fullest extent permitted by applicable law, the covered Research and Live Marketplace services and all associated content, strategies, data, and software are provided "as is" and "as available". Rivendell disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, security, and results. Nothing in these Terms excludes a warranty or right that applicable law does not permit us to exclude.
11. Limitation of liability
To the fullest extent permitted by applicable law, Rivendell and its officers, directors, employees, contractors, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profit, revenue, opportunity, goodwill, data, or use, arising from or related to the covered Research or Live Marketplace services, third-party materials, or research decisions.
These limitations do not apply to liability that cannot lawfully be excluded or limited, including any mandatory rights available to you under applicable consumer law.
12. Suspension and termination
You may stop using and uninstall EdgePilot Research or stop using the Live Marketplace at any time. We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, abuse a Marketplace service, evade an applicable download allowance, or if we discontinue the service. Upon termination, the license granted by these Terms ends, but provisions that by their nature should survive—including ownership, disclaimers, liability limits, and dispute terms—will survive.
13. Governing law and courts
These Terms and any dispute arising out of or relating to them or the service are governed by the laws of the British Virgin Islands, without regard to conflict-of-law rules. Except where applicable law mandatorily provides otherwise, you and Rivendell submit to the exclusive jurisdiction of the courts of competent jurisdiction in the British Virgin Islands. These Terms do not affect consumer rights under the law of your place of residence that cannot be excluded by contract.
14. General
These Terms, the applicable Custom EdgePilot License, and documents expressly incorporated by reference form the agreement for the covered Research and Live Marketplace services. If they conflict on software-use rights, the more specific Custom EdgePilot License controls. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization, financing, merger, acquisition, or transfer of the service.
